This filing relates to the proposed merger involving Callaway Golf Company, a Delaware corporation (“Callaway”), 51 Steps, Inc., a Delaware corporation (“Merger Sub”) and Topgolf International, Inc., a Delaware corporation (“Topgolf”), pursuant to the terms of that certain Agreement and Plan of Merger, dated as of October 27, 2020, by and among Callaway, Merger Sub and Topgolf.

The following is a transcript of an interview of Oliver (Chip) Brewer III, President and Chief Executive Officer of Callaway on CNBC’s Squawk on the Street on October 28, 2020.

Sara Eisen: Shares of Callaway Golf also took a dive today. They were down more than 18%. This comes after the company announced an all-stock merger with Topgolf, valuing the golf entertainment company around $2 billion. Joining us now to discuss that deal for an exclusive interview is Callaway CEO Chip Brewer. Chip, thank you for joining us. Stock got hit hard today and it was more than just the broader sell-off. What sort of concerns have you heard from investors? Is it around the price or the strategy or what?

Chip Brewer: Well, thank you for having me on first of all. And we’re tremendously excited about this new opportunity, but clearly, we did have a tough day in the markets and timing of the announcement clearly wasn’t our friend with the trends that have been realizing across the markets over the last few months. And there’s a lot to digest here because this is a transformative merger. It creates an entity that doesn’t really replicate anything that currently exists with a leader in golf equipment merging with a leader in golf entertainment and a whole new entity that is a lot for investors to digest. What I can tell you is that we’re really encouraged by our conversations with investors because they understand the long-term potential here. They do understand how these businesses fit so well together and we’re convinced that there’s great opportunity for the Callaway shareholders as we unlock this going forward. But clearly today’s stock performance didn’t indicate that and we remain convinced that long-term it will.

Wilfred Frost: Do you welcome the shift that this will have, Chip, to your overall revenue mix away from equipment toward services? Is now the right time to be making that particular shift?

Chip Brewer: I think so. Yeah. I think this is going to more than double our growth prospects, right? You know, being able to take advantage of that opportunity from a position of strength like we can right now because, you know, our business is flat-out killing it at the moment. We just announced concurrent with this merger record Q3 revenues and earnings. We’re in a very strong capital position and Topgolf is a business we know extremely well. We’ve been investors since 2006. I’ve been on the Board since 2012. We come at this from an insider’s perspective. And it is a proven model that has outstanding growth prospects and both businesses, as I mentioned, just fit so well together that we will be able to drive further growth and a further competitive advantage for both businesses. It’s a very exciting but also a very different idea that investors and the market are clearly digesting. There’s been a shift in our shareholder base and as that continues forward, I remain very optimistic that the value will be seen.
